1. Introduction
These Terms of Service (“Terms”) govern your use of any services provided by Centurion Networks LTD, Company Number 16781144, registered in the United Kingdom (“Centurion Networks”, “we”, “us”, “our”).
By creating an account, placing an order, or using our website or services, you agree to be bound by these Terms, together with our Acceptable Use Policy and Privacy Policy, which are incorporated by reference. By using our website, you also agree to our use of cookies as described in the Privacy Policy.
If you do not agree to these Terms, you must not use our services.
2. Definitions
- Consumer: an individual acting for purposes wholly or mainly outside their trade, business, craft or profession (as defined by the Consumer Rights Act 2015).
- Business Customer: any customer who is not a Consumer.
- Services: any hosting, infrastructure, or related services provided by us.
- Invoice: any bill issued for payment for Services.
3. Services We Provide
We provide server hosting services, including but not limited to:
- Game server hosting for supported games.
We may also offer additional services in the future, including:
- Virtual Private Servers (VPS).
- Infrastructure and related hosting services.
The features, limits, and pricing of each service are as described at the time of purchase and in your client area.
4. Eligibility
To use our Services, you must:
- Be at least the legal age of majority in your country.
- Be legally capable of entering into a binding contract.
- Not be prohibited from receiving services under applicable laws.
5. Account Registration and Security
- You must provide accurate and up-to-date account information.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity carried out under your account, whether authorised by you or not.
- You must notify us immediately if you suspect unauthorised access.
6. Use of Services and Acceptable Use
Your use of the Services must comply with our Acceptable Use Policy (“AUP”). Any breach of the AUP constitutes a breach of these Terms and may result in suspension or termination.
You are solely responsible for all content, data, and software hosted using our Services and for ensuring compliance with all applicable laws, licences, and third-party rights (including copyright, trademarks, and game EULAs).
7. Support and Availability
- Support is provided on a best-effort basis and is not guaranteed to be available at specific times.
- We do not guarantee 24/7 availability unless explicitly agreed in writing.
- No service level agreement (SLA) applies unless stated at purchase.
8. Payments and Billing
8.1 Billing
- Services are billed in advance on a recurring basis unless stated otherwise.
- Invoices must be paid by the due date shown on the invoice.
- You authorise us and our payment processors to charge your selected payment method for applicable fees.
8.2 Failed or Reversed Payments
If a payment fails, is reversed, or is subject to a chargeback or dispute, we may:
- Suspend or terminate Services.
- Recover reasonable costs incurred, where permitted by law.
9. Late Payments and Interest
9.1 Consumers
If you are a Consumer, we may charge interest or late payment charges on overdue invoices only where permitted by law and only where such charges are fair and transparent, in accordance with the Consumer Rights Act 2015.
Any applicable late payment charges will be clearly stated on the invoice or in the client area and will not exceed what is legally permitted.
9.2 Business Customers
If you are a Business Customer, overdue invoices will accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, calculated as:
- 8% per annum above the Bank of England base rate, accruing daily from the day after the invoice due date until paid in full.
We also reserve the right to charge statutory fixed compensation for late payment, as permitted by law:
- £40 for debts up to £999.99
- £70 for debts between £1,000 and £9,999.99
- £100 for debts of £10,000 or more
Where recovery costs exceed the fixed compensation, we may recover reasonable additional costs incurred in collecting the debt.
10. Suspension and Termination
10.1 Suspension
We may suspend Services (with or without notice) if:
- Any invoice remains unpaid after the due date.
- There is a breach of these Terms or the AUP.
- Your use poses a risk to our infrastructure or other customers.
All outstanding invoices, including any applicable interest, compensation, or fees, must be paid in full before Services are reinstated.
10.2 Termination
We may terminate Services or your account if:
- There are repeated or serious breaches of these Terms or the AUP.
- We are required to do so by law or by a competent authority.
- We discontinue the Services (we will use reasonable efforts to provide advance notice where possible).
You may cancel Services at any time via the client area, subject to any notice period stated at purchase.
11. Refunds
- We offer a 24-hour refund window from the time of initial purchase of a service, provided the refund request is made within that period and you have not breached these Terms or our AUP.
- After the initial 24-hour period, any refund is at our sole discretion.
- Refunds may be refused where Services have been heavily used, abused, or where we incur non-recoverable costs (for example, third-party licensing fees or chargeback fees).
- Refunds will usually be issued using the same payment method used for the original transaction where possible.
- Nothing in this section affects your statutory rights under UK consumer law where applicable.
12. Data and Backups
- You are responsible for maintaining your own backups unless we explicitly state otherwise.
- While we may perform periodic backups for our own disaster recovery, we do not guarantee that any particular data will be recoverable.
- We are not liable for any loss of data, except where required by law.
13. Downtime and Availability
- We do not guarantee uninterrupted service or 100% uptime.
- Maintenance, hardware failures, network issues, and other events may cause interruptions.
- Where possible, we will give reasonable notice of planned maintenance that may affect service availability.
- To the extent permitted by law, our liability for downtime is limited as described in Section 16.
14. Intellectual Property
You retain any intellectual property rights in the content and data you upload or host using our Services. By using our Services, you grant us a limited licence to store, transmit, and process your content as necessary to provide the Services.
All software, systems, and branding used to provide the Services (including our logos, trade names, panel designs, and any custom tools) remain the property of Centurion Networks or our licensors.
15. Third-Party Software and Licences
Some Services may involve third-party software (e.g. game servers, panels, plugins, mods). You are responsible for:
- Ensuring you have the right to use any such software (licences, permissions, etc.).
- Complying with the applicable licence terms and EULAs.
We are not responsible for issues arising from third-party software, including incompatibility, bugs, or licence restrictions.
16. Limitation of Liability
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot be excluded under UK law.
Subject to the above:
- We are not liable for any loss of profits, business, revenue, data, or any indirect or consequential loss arising from your use of our Services.
- Our total liability to you for any claims arising out of or related to the Services shall be limited to the total fees you have paid to us for the Services in the 12 months preceding the event giving rise to the claim.
17. Indemnity
You agree to indemnify and hold harmless Centurion Networks, our directors, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses arising from:
- Your breach of these Terms or the AUP.
- Your infringement of any third-party rights.
- Your misuse of our Services.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, where appropriate, notify you via the client area or email.
If you continue to use our Services after changes take effect, you are deemed to have accepted the updated Terms. If you do not agree, you must stop using our Services and cancel your account.
19. Affiliate Programme
We may offer an optional affiliate programme (“Affiliate Programme”) that allows eligible users to earn commission for referring new customers or sales of our products and services.
19.1 Eligibility
- You must be 18 years of age or over to participate in the Affiliate Programme.
- We may require you to verify your identity and/or age before paying out commission.
- Participation is at our discretion and we may approve, refuse, suspend, or terminate your affiliate status at any time.
19.2 Commission
- You may earn commission at a fixed rate on qualifying sales generated through your affiliate links or codes.
- Rates, qualifying products, and thresholds will be stated in your client area or documentation we provide.
- Commission is only payable on completed, valid transactions that are not refunded, charged back, or reversed.
- We may change commission rates, eligible products, or thresholds at any time; changes apply to future transactions.
19.3 Payments and Withholding
- Commission will be paid in accordance with the schedule and method stated in the affiliate area or as otherwise communicated.
- We may withhold or delay commission payments where we reasonably suspect fraud, abuse, breach of these Terms or the AUP, or where transactions may be refunded or charged back.
- We may, at our discretion, cancel or adjust commission, or stop further commission being earned, for example in cases of suspected self-referrals, coupon abuse, fake accounts, or other misuse.
- You are responsible for any taxes or reporting obligations arising from commission payments.
19.4 Conduct and Restrictions
- You must not use spam, misleading advertising, or unlawful methods to promote your affiliate links.
- You must not represent yourself as an employee or official representative of Centurion Networks.
- Your participation is subject to these Terms and our AUP, and may be terminated immediately for breach.
19.5 Termination of Affiliate Status
We may terminate or suspend participation at any time, including where:
- We reasonably believe there is fraud, abuse, or misuse of the programme.
- You breach these Terms, the AUP, or applicable law.
- We decide to modify or discontinue the Affiliate Programme.
Upon termination, you must stop using any affiliate links or promotional materials we provide. We may, at our discretion, cancel or withhold unpaid commission where it arises from suspected abuse or breach of these Terms.
20. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or the Services, shall be governed by and construed in accordance with the laws of England and Wales.
You agree that the courts of England and Wales shall have exclusive jurisdiction over any such dispute or claim, except where consumer protection laws in your country of residence provide otherwise.
